Purpose and Scope
This notice applies to all users who access www.stide.asia from Singapore, and to any user elsewhere who accesses this website where Singapore law is relevant to the viewing, receipt, or onward transmission of content.
The purpose of this notice is to (i) restrict access to certain information to persons who are eligible to receive it under Singaporeâs wholesale investor framework, and (ii) clarify STIDEâs operating perimeter and limitations. This notice is separate from, and does not replace, STIDEâs Terms, Privacy, and Cookies pages.
Singapore: Accredited Investor / Institutional Investor Framework
In Singapore, the terms âAccredited Investorâ and âInstitutional Investorâ are defined under the Securities and Futures Act 2001 of Singapore (the âSFAâ) and related subsidiary legislation. Whether you qualify depends on your legal status (individual/entity) and prescribed criteria.

Corporations / entities may qualify in prescribed circumstances, including where net assets exceed SGD 10 million, and certain trustees, partnerships, and wholly-owned entities (subject to the applicable rules). The above is a high-level summary and is not exhaustive. Eligibility may depend on how assets/liabilities are computed and what supporting evidence is used. |
| Institutional Investor (II) |
Institutional Investors generally include prescribed institutional categories such as (among others) the Singapore Government, certain prescribed statutory boards, central banks/foreign governments and their specified agencies/entities, and regulated financial institutions and market infrastructure entities (as defined/prescribed under Singapore law). If you are unsure whether you qualify as an Institutional Investor, you should obtain independent advice and refrain from accessing restricted pages. |
Opt-in / classification note: Where the Singapore âopt-inâ regime applies to your dealings with a regulated financial institution, you may be required to provide an express acknowledgement/consent before being treated as an Accredited Investor for those dealings. You are responsible for ensuring you have made any required elections/consents with the relevant counterparty.

Regulatory Perimeter (What STIDE Does and Does NOT Do); Third-Party Licensed Handoffs
STIDE provides the following services only, as described on this website:

- Deal engineering / execution PMO (project management and documentation coordination); and
- Monitoring & covenant oversight design.
STIDE does NOT:
- operate as a bank or deposit-taker;
- act as lender-of-record or provide lending commitments;
- act as a broker-dealer, placement agent, or distributor of investment products;
- hold, control, or safeguard client money or client assets (no custody); or
- provide legal, tax, accounting, or regulated investment advice.
Where any activity may be regulated and must be performed by a duly-licensed or exempt person under applicable law, such activity (if undertaken at all) is performed only by appropriately authorised third parties, with clear role separation and documented handoffs. Any such partners (if applicable) are identified on a case-by-case basis and within the relevant engagement documentation.
