Acceptance of Terms; Changes to Terms
These Terms & Conditions (the Terms) govern your access to and use of the website located at https://www.stide.asia (including any subpages, features, and content accessible through the domain www.stide.asia) (the Site).
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Site.
STIDE may amend these Terms from time to time by posting an updated version on the Site. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
Who the Site is for
The Site is intended for business, professional, and institutional audiences seeking general information about STIDE’s advisory and support services for Singapore and ASEAN cross-border contexts. The Site is not directed to retail customers and is not intended to be used in any jurisdiction or circumstance where access to the Site, or reliance on its content, would be contrary to applicable laws or regulations.
You are responsible for ensuring that your access to and use of the Site (including any enquiry you submit) complies with all laws and regulations applicable to you in your location and circumstances.

Nature of STIDE’s Services and What STIDE Does NOT Do
The Site describes services that may include:
- Bankability assessment and evidence pack design;
- Structuring and term sheet design support, including credit approval architecture support;
- Deal execution PMO (project management and documentation coordination); and
- Monitoring and covenant oversight design.
Unless and until STIDE and you enter into a separate written engagement agreement, nothing on the Site constitutes an agreement to provide services, and no relationship is created beyond your use of the Site under these Terms.
What STIDE does not do
To avoid confusion and reduce regulatory and execution risk, you acknowledge and agree that:
- STIDE is not a bank and does not accept deposits.
- STIDE is not a lender-of-record and does not extend credit as principal through the Site.
- STIDE is not a broker-dealer or placement agent through the Site.
- STIDE does not hold client money or assets and does not provide custody services.
- STIDE does not promise or guarantee funding, approvals, pricing, timing, or outcomes.
If any activity requiring a licence, authorisation, approval, or exemption arises in connection with a matter you are exploring, such activity must be performed solely by appropriately licensed or exempt third parties, with clear handoffs and scope boundaries. STIDE may support by coordinating documentation and process steps within the scope of its advisory and PMO support, as set out in a written engagement agreement.
No Offer / No Solicitation / No Prospectus
All information on the Site is provided for general informational purposes only. Nothing on the Site constitutes, or is intended to constitute, an offer, solicitation, invitation, or inducement to buy or sell any securities, interests, units, notes, loans, or other financial products, or to participate in any investment or financing transaction.

Permitted Use; Prohibited Use
You may use the Site only for lawful purposes and in accordance with these Terms. You must not misuse the Site or attempt to interfere with its normal operation.
Prohibited conduct
You must not (and must not attempt to):
- access or use the Site in any manner that violates any applicable law or regulation;
- probe, scan, test the vulnerability of, or breach any security or authentication measures of the Site or any connected systems;
- introduce malware, viruses, trojans, worms, logic bombs, or other harmful material;
- use automated means (including bots, scrapers, spiders, or scripts) to access, extract, copy, monitor, or index any portion of the Site without STIDE’s prior written consent;
- interfere with or disrupt the Site, servers, networks, or other users’ access;
- reverse engineer, decompile, disassemble, or attempt to derive source code from any part of the Site, except to the extent such restriction is prohibited by applicable law; or
- use the Site to submit unlawful, deceptive, defamatory, harassing, or infringing content.
STIDE may implement reasonable technical and operational measures to protect the Site and its users, including rate limiting, access controls, or blocking suspicious traffic.
Intellectual Property; Licence to Use Site Materials
Unless otherwise stated, the Site and all content on it (including text, graphics, logos, design elements, and compilations) are owned by or licensed to STIDE and are protected by applicable intellectual property laws. No rights are granted to you other than those expressly set out in these Terms.
Subject to your compliance with these Terms, STIDE grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your internal business purposes. You must not reproduce, distribute, publicly display, publish, create derivative works from, or commercially exploit Site content without STIDE’s prior written consent, except where such use is permitted by applicable law.
User Submissions and Acceptable Use
The Site may allow you to submit information through enquiry or contact functions (each a User Submission). You remain responsible for your User Submissions.
No confidential information via web forms: Do not submit confidential, sensitive, or privileged information through the Site. Any User Submission through the Site is provided on a non-confidential basis. STIDE is not obliged to treat a User Submission as confidential, or to implement special handling, unless and until a separate written agreement expressly provides otherwise.
You represent and warrant that your User Submissions:
- are accurate to the best of your knowledge and not misleading;
- do not infringe any third-party rights (including intellectual property or privacy rights);
- do not contain unlawful content; and
- do not include personal data of third parties unless you have lawful authority to provide it for the stated purpose.
By submitting a User Submission, you grant STIDE a licence to use, reproduce, and process it for the purposes of reviewing, responding, and conducting reasonable compliance checks related to your enquiry.
Third-Party Links; Third-Party Content
The Site may contain links to third-party websites or content for convenience. STIDE does not control third-party sites or content and does not endorse them. Your access to third-party sites is at your own risk and subject to the third party’s terms and policies. STIDE is not responsible for third-party content, availability, security, or practices.
Disclaimers
Site provided as is: The Site and its content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, STIDE disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, and availability.
No guarantee of accuracy or completeness: Content may be updated, modified, removed, or become outdated without notice. STIDE does not warrant that the Site or any content is complete, error-free, or suitable for your purposes.
Forward-looking statements: The Site may include forward-looking statements or expectations. Such statements are inherently uncertain and may differ materially from actual outcomes. STIDE does not undertake to update forward-looking statements.

Limitation of Liability
To the maximum extent permitted by law, STIDE will not be liable for any loss or damage arising out of or in connection with your access to, use of, or inability to use the Site or reliance on any content, whether in contract, tort (including negligence), statute, or otherwise.
Without limiting the above, to the maximum extent permitted by law, STIDE will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, anticipated savings, opportunity, data, or use, even if STIDE has been advised of the possibility of such loss.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
Indemnity
You agree to indemnify and hold harmless STIDE, its directors, officers, employees, and contractors from and against losses, claims, damages, liabilities, and expenses (including reasonable legal fees) arising from or relating to:
- your breach of these Terms;
- your misuse of the Site;
- your User Submissions; or
- your violation of applicable law or infringement of third-party rights.
STIDE will use reasonable efforts to notify you of any indemnified claim. STIDE may participate in the defence at its own expense and may assume control of the defence where it reasonably considers it necessary to protect its interests.
Privacy and Cookies
STIDE may collect, use, disclose, and otherwise process personal data through your interactions with the Site (for example, when you submit an enquiry). In Singapore, the collection, use, and disclosure of personal data by organisations is governed by the Personal Data Protection Act 2012 and related guidance administered by the Personal Data Protection Commission. Where there is any conflict between these Terms and STIDE’s Privacy Policy in relation to personal data, the Privacy Policy will prevail to the extent of the conflict.

Compliance & Screening Notice
STIDE operates with a controls-first, evidence-driven approach. If your interaction progresses beyond a general enquiry, STIDE may request information and documentation reasonably required for internal compliance checks, including identity, beneficial ownership, counterparty information, and contextual information necessary to assess integrity and risk.
STIDE may also conduct reasonable screening and due diligence checks using public, proprietary, or third-party sources. STIDE may decline to proceed with, or may discontinue, discussions or an engagement where STIDE reasonably determines that doing so is necessary to manage legal, regulatory, sanctions, reputational, or integrity risks, or where requested information is not provided.
For the avoidance of doubt, nothing in this section creates an obligation for STIDE to accept any client, proceed with any matter, or provide services without a signed written engagement agreement.
Suspension/Termination of Access; Right to Refuse Engagement
STIDE may, at any time and without notice, suspend or restrict your access to the Site (in whole or in part) where STIDE reasonably considers it necessary to protect the Site, protect users, investigate suspected misuse, comply with law, or manage risk.
STIDE may refuse or terminate any prospective or actual engagement at any time prior to signing a written engagement agreement. Any engagement that proceeds will be governed by a separate written agreement, which will set out the scope, fees, responsibilities, reliance, limitations, and other terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of Singapore. You agree to submit to the exclusive jurisdiction of the courts of Singapore in relation to any dispute arising out of or in connection with these Terms or your use of the Site.

Miscellaneous
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force to the extent permitted by law.
No waiver: A failure or delay by STIDE to enforce any provision of these Terms does not operate as a waiver of that provision or any other provision.
Assignment: You must not assign or transfer any rights or obligations under these Terms without STIDE’s prior written consent. STIDE may assign its rights and obligations under these Terms as part of a corporate reorganisation, business transfer, or similar transaction.
Entire terms for Site use: These Terms constitute the entire agreement between you and STIDE in relation to your access to and use of the Site, and supersede any prior communications to the extent they relate to Site use.
