Identity of STIDE and Scope of Website
This website is operated by STIDE PTE LTD (âSTIDEâ, âweâ, âusâ). The content on this website is provided for general information about STIDE and the services described below. It is not intended to be, and should not be construed as, an invitation to invest, an offer or solicitation of any securities or other investment products, or a recommendation to enter into any transaction.
You are responsible for ensuring that your access to and use of this website (including any enquiry or engagement) complies with applicable laws and regulations in your jurisdiction.
Nature of Services and What STIDE Does NOT Do
STIDE provides advisory and execution-support services focused on evidence, structuring support, project management coordination, and monitoring design. The services described on this website are limited to:
- Bankability assessment / evidence pack design;
- Structuring & term sheet design support;
- Deal engineering / execution PMO (project management, documentation coordination); and
- Monitoring & covenant oversight design.
What STIDE does NOT do (non-negotiable perimeter).
- STIDE is not a bank and does not accept deposits.
- STIDE is not the lender-of-record and does not provide loans in its own name on the basis of this website.
- STIDE is not a broker-dealer, placement agent, or âintroducerâ offering regulated dealing/placement services.
- STIDE does not hold or control client money, client assets, investor subscription monies, or transaction proceeds (no custody).
- STIDE does not provide legal, tax, accounting, or regulated investment advice.
- STIDE does not promise or guarantee funding outcomes, approvals, pricing, timing, investor interest, returns, or transaction success.
If any part of the website uses funding or capital-related language (e.g., âarrangeâ, âraiseâ, âplaceâ, âintroduce capitalâ, âfundingâ), it should be read strictly subject to this Notice and interpreted, where relevant, as describing non-regulated support activities (e.g., preparation, documentation coordination, and process design) and/or activities performed only by properly licensed or exempt third parties.
Regulatory Status and Perimeter (Singapore-first; cross-border caution)
Singaporeâs financial services regulatory framework is administered by the Monetary Authority of Singapore (âMASâ). Depending on the facts and how services are carried on, certain activities (including capital markets services and financial advisory services) may require licensing, registration, or reliance on an exemption under Singapore law.
In particular:
- The Securities and Futures Act 2001 of Singapore (the âSFAâ) is the principal statute governing, among other things, certain capital markets services, including activities that may require a Capital Markets Services licence (âCMS licenceâ).
- MAS states that a company must hold a CMS licence to conduct activities regulated under the SFA, unless an exemption applies.
- MAS further states that corporate finance advisers are required to hold a CMS licence for advising on corporate finance, unless an exemption applies.
- The Financial Advisers Act 2001 of Singapore (the âFAAâ) regulates financial advisers and financial advisory services.
- Payment services, including digital payment token services, are regulated under the Payment Services Act 2019 of Singapore (the âPSAâ).
STIDE does not represent on this website that it is licensed, regulated, registered, or exempt under the SFA, FAA, or PSA unless and until it is supported by documentary evidence and expressly stated on the relevant page. Any regulatory status, licence number, registration, or exemption (if applicable) will be expressly stated on the relevant page.
Where a client engagement involves any activity that is regulated in Singapore or elsewhere (including any dealing/placement/corporate finance advisory activity), STIDEâs role is limited to non-regulated support and coordination, and regulated activities (if any) will be performed solely by a properly licensed or exempt third-party service provider with clear contractual scope and responsibility. Any such licensed/exempt partner details (name, jurisdiction, licence/exemption basis, and scope of handoff) will be expressly stated in the relevant engagement documentation. STIDE does not represent that it operates under any exemption unless that position is supported by documentary evidence and is applicable to the relevant activity.
No Offer / No Solicitation / No Prospectus
Nothing on this website constitutes, or forms part of, any offer, solicitation, invitation, or inducement to subscribe for, purchase, sell, underwrite, or otherwise transact in any securities, units, interests, derivatives, structured products, or other investment products.
Offers of securities or interests in investment products in Singapore may be subject to prospectus and other legal requirements under the SFA unless an applicable exemption applies. Any transaction materials (if any) will be documented separately and will be provided only where lawful and appropriate, and only to eligible persons on a need-to-know basis.
No Advice, No Fiduciary Duty; Independent Verification
Information on this website is not financial advice, investment advice, legal advice, tax advice, or accounting advice, and is not a recommendation that any person should enter into any transaction or adopt any strategy.
STIDE does not act as a fiduciary to any website visitor. Any reliance you place on website content is at your own risk. You should obtain independent professional advice (legal, tax, accounting, regulatory, financial, and otherwise) appropriate to your circumstances and jurisdiction, and independently verify all information before making decisions.
No Custody; Third-Party Service Providers; Licensed Partner Handoffs
STIDE does not hold, receive, control, or custody client monies, investor monies, subscription monies, or transaction proceeds. Where a transaction involves banking, escrow, security agency, trusteeship, brokerage, exchange execution, payment services, or any regulated function, those services must be provided by appropriately appointed third-party institutions or professionals (e.g., banks, escrow agents, trustees, security agents, administrators, and licensed advisers), under their own terms and regulatory obligations.
Any references on this website to âpartnersâ or âservice providersâ do not mean that STIDE controls those parties or assumes responsibility for their acts/omissions. Third parties are engaged under separate contracts, and you should review their terms, disclosures, and regulatory status.
Risk Disclosure (General)
Structured finance and private credit-related transactions can involve significant risks, including (without limitation) credit risk, liquidity risk, concentration risk, legal and regulatory risk, cross-border enforcement risk, operational risk, valuation uncertainty, counterparty risk, fraud risk, sanctions/AML risk, and the risk of total loss. Past performance (if referenced in any context) is not indicative of future results. You should assess suitability and risks with appropriate independent advisers before participating in any transaction.
Accuracy, No Reliance, Forward-Looking Statements
STIDE endeavours to keep website content reasonably current, but does not warrant that any information is complete, accurate, up to date, or fit for any particular purpose. The website may include forward-looking statements, plans, or expectations, which are inherently uncertain and may change without notice. STIDE disclaims liability to the fullest extent permitted by law for any loss arising from use of, reliance on, or inability to access the website.
Conflicts of Interest and Fees (High-Level)
STIDE may act for multiple parties in the same sector and may have potential conflicts (e.g., advising different clients with different interests). Where STIDE is engaged, conflicts (if any) should be addressed through appropriate engagement terms, confidentiality arrangements, and information barriers.
STIDEâs fees (if any) are agreed contractually with its client(s). STIDE may, where permitted and disclosed in writing, receive fees from clients and/or third-party service providers for non-regulated services such as project management coordination and documentation support. No fee amounts are stated on this page.
AML/CFT & KYC (High-Level)
STIDE reserves the right to request identification and due diligence information, and to conduct screening and checks, to the extent appropriate for its business and any engagement (including in connection with third-party onboarding requirements). STIDE may decline to proceed with an enquiry or engagement where information is incomplete, inconsistent, or raises legal, regulatory, sanctions, fraud, or AML/CFT concerns.
